Fixed Scope Projects Terms of Service
The agreement
These terms form the contract between you (the client) and Worknight Studio, operated by Nick Hiley, a sole trader registered in England and Wales. By paying your deposit invoice, you confirm you have read and agree to these terms.
What's included
Discovery and strategy session to define scope, goals, and content requirements
Framer website build to the agreed specification
Copywriting for the agreed pages
On-page SEO setup including meta titles, descriptions, and Open Graph tags
Hosting setup and domain connection
Unlimited revisions within the agreed scope (see below)
One month of Overtime support included after launch
What counts as a revision
A revision is any change to content, copy, layout, or styling within the scope agreed at the start of the project
Revisions are unlimited but must relate to the original brief — they are not a mechanism for adding new pages, features, or sections that weren't in the original scope
Any work outside the original scope will be quoted separately before proceeding
Payment
A 50% deposit is required before any work begins
The remaining 50% is due on the agreed completion date, or when the site is ready to launch — whichever comes first
All invoices are due within 7 days of issue unless otherwise agreed in writing
Late payments may result in work being paused until the outstanding balance is cleared
If the project stalls
If you become unresponsive during the project, invoices remain due on their original dates
When you're ready to restart, work will be rescheduled around other active projects — there is no guarantee of an immediate slot
Worknight Studio will make reasonable attempts to contact you before any invoice becomes overdue
Cancellation
You may cancel the project at any time by notifying Worknight Studio in writing
The deposit is non-refundable under any circumstances — it covers time already committed and reserved
If you cancel after the deposit stage, no further payment is owed
Ownership and rights
Full ownership of the completed website transfers to you once the final payment has cleared
Worknight Studio retains the right to display the project in its portfolio and use it for promotional purposes
Any content, copy, or assets you supply remain your property throughout
Liability
Worknight Studio is not liable for any loss of revenue, data, or business opportunity arising from the website or its content
In the event of any claim, liability is limited to the total project fee paid
You are responsible for ensuring any content you supply does not infringe third-party rights
Governing law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

Overtime Terms of Service
The agreement
These terms form the contract between you (the client) and Worknight Studio, operated by Nick Hiley, a sole trader registered in England and Wales. By activating your Overtime subscription, you confirm you have read and agree to these terms.
What's included
Unlimited design and development requests, worked through one at a time
Changes to any existing Framer site — content updates, layout changes, new pages, bug fixes, and performance improvements
Design work including social media graphics, branding assets, and marketing collateral
Any ongoing creative or digital task that does not constitute a new standalone website project
How requests work
Requests are worked through one at a time in the order they are received
Most requests are turned around within 48 hours — complex tasks may take longer and you will be told upfront if that's the case
A request is a single, clearly defined task. If a request grows into something more substantial, Worknight Studio will flag this before proceeding
Requests that amount to a full new website build are outside the scope of Overtime and will be quoted as a separate project
Billing
Overtime is billed monthly in advance through a Stripe subscription
Your billing date is set on the date your subscription starts and renews automatically each month
If a payment fails, Stripe will retry automatically. Work will pause if the payment cannot be collected
You can manage your subscription — including updating your payment method — directly from your Stripe billing portal
Cancellation and pausing
You can cancel or pause your subscription at any time through your Stripe billing portal — no notice period required
Cancellation or pausing takes effect at the end of your current billing period
Any requests submitted before the end of your billing period will be completed as normal
No refunds are issued for unused time within a billing period
Ownership and rights
Full ownership of all work delivered under Overtime transfers to you once the relevant payment has cleared
Worknight Studio retains the right to display completed work in its portfolio and use it for promotional purposes
Any content or assets you supply remain your property throughout

Worknight Studio is not liable for any loss of revenue, data, or business opportunity arising from work delivered under Overtime
In the event of any claim, liability is limited to the value of the most recent monthly payment made
